Terms of Service

As a customer of AQWIRE, you have the option to use AQWIRE’s broad range of real estate solutions. From SAP integrated billing and invoicing systems, SaaS property management solutions. If you wish to continue using any of AQWIRE’s services, you must agree to the Terms and Conditions as provided herein (these “Terms of Service”) regarding Your use of the Service. If you do not agree to these Terms of Service, then you may not access or use the Services.

REPRESENTATIONS AND WARRANTIES; ACKNOWLEDGEMENTS

You represent and warrant to AQWIRE, and your covenant that:

(a) you are of the legal age of majority in your jurisdiction as is required to access the Services and enter into arrangements as provided by the Service.

(b) you are willing and capable of electronically receiving, reviewing, printing and saving all invoices, materials, disclosures, terms or other content delivered to You through the Service and consent to the disclosure by AQWIRE of the information and invoice details required to create and distribute invoices to, and receive billing from, You;

(c) You will provide Your complete and accurate information regarding billing information;

(d) Your liability for any billing you make through the Service using a credit or debit card or ACH will be governed by the agreement for the credit or debit card issuer or bank You use;

(e) You represent you are responsible for ensuring compliance with the laws of your jurisdiction and acknowledge that AQWIRE is not liable for your compliance with such laws.

CHANGES AND AMENDMENTS

AQWIRE reserves the right to revise these Terms of Service and the documents referenced herein at any time in its sole discretion. All revisions made will be properly communicated thru email message. You may access the current version of these Terms of Use at any time by clicking on the link marked "Terms of Use" at the bottom of each page of this Site. Any changes shall be effective immediately after the time at which such changes are posted on the Site. Your continued use of the Service after the terms have been changed constitutes Your acknowledgment of, and agreement to abide and be bound by, the modified terms and conditions.

LICENSES

You are hereby granted a limited license to use the service to utilize, including making incidental copies arising from the operation of Your browser, the Service, the Site and the content contained on the Site only to receive invoices and billings. You are prohibited from modifying, copying, distributing, transmitting, displaying, publishing, selling, licensing, creating derivative works from, decompiling, reverse engineering, disassembling, transferring or using the Service or any content available on the Site for any other purpose.

CANCELLATION POLICY

These Terms of Service, as changed and modified from time to time, remain in effect until such time as You no longer use the Service to pay invoices and or if it is canceled or terminated by AQWIRE. AQWIRE may cancel Your access to, or any aspect of, the Service at any time by providing written notice to You at the most current email address AQWIRE, as applicable, has for You. You may discontinue use of the Service at any time by providing written notice to AQWIRE via email at [email protected]

DESCRIPTIONS

Payments made through our online platform will show as “AQWIRE” on the user’s credit card statement.

PROPRIETARY RIGHTS

All title, ownership and intellectual property rights in and to the Service are owned by AQWIRE or its licensors. You acknowledge and agree that the Service contains proprietary and confidential information that is protected by applicable intellectual property and other applicable laws. Except as expressly authorized by AQWIRE, you agree not to copy, modify, rent, lease, loan, sell, distribute, perform, display or create derivative works based on the Service, in whole or in part.

NO WARRANTIES

You use this service at your own risk. The service and all content made available provided to you by AQWIRE, on an "as is" and "as available" basis without warranty of any kind either express or implied. This includes, but not limited to, the implied warranties of merchantability and fitness for a particular purpose, title, non-infringement security, or accuracy. AQWIRE makes no warranty that the service will meet your requirements and that it will be uninterrupted, timely, secure or error-free.

Other than as required under applicable law, under no circumstance will AQWIRE, or any of their respective agents, affiliates, officers, directors or employees, be liable for any loss or damage caused by your reliance on the service or on information obtained through the service or the site, or by your reliance on any product or service obtained from a linked site. You acknowledge that AQWIRE has no control over, and no duty to take any action regarding: which users gain access to or use the Service; what effects the Services may have on You; how You may interpret or use the Services; or what actions You may take as a result of having been exposed to the Services.

AQWIRE does not warrant that the site is compatible with your equipment or that the site is free of viruses, worms, bots or any other harmful, invasive or corrupted files.

INDEMNITY

You agree to release and to indemnify, defend and hold harmless AQWIRE and its parents, subsidiaries, affiliates and agencies, as well as the officers, directors, employees, shareholders and representatives of any of the foregoing entities, from and against any and all losses, liabilities, expenses, damages, costs (including attorneys’ fees and court costs) claims or actions of any kind whatsoever arising or resulting from Your use of the Service or your violation of these Terms of Service. AQWIRE reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by You and, in such case, you agree to cooperate with AQWIRE in the defense of such matter.

LIMITATION OF LIABILITY

THE INFORMATION, SOFTWARE, PRODUCTS, SERVICE, SITE, CONTENT ON THE SITE, AND DESCRIPTIONS OF SERVICES PUBLISHED ON THE SITE OR A LINKED SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS, AND AQWIRE SPECIFICALLY DISCLAIM ANY LIABILITY FOR SUCH INACCURACIES OR ERRORS. AQWIRE DO NOT WARRANT OR REPRESENT THAT THE CONTENT ON THE SITE IS COMPLETE OR UP-TO-DATE. AQWIRE IS UNDER NO OBLIGATION TO UPDATE THE SITE, THE SERVICE OR THE CONTENT ON THE SITE. AQWIRE MAY CHANGE THE SITE, THE SERVICE AND THE CONTENT CONTAINED ON THE SITE, AND MAY MAKE IMPROVEMENTS OR CHANGES THERETO, AT ANY TIME WITHOUT NOTICE.

YOU ACKNOWLEDGE AND AGREE THAT YOU ASSUME FULL RESPONSIBILITY FOR YOUR USE OF THE SITE AND SERVICE. RECOGNIZING SUCH, YOU UNDERSTAND AND AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER AQWIRE NOR ITS SUPPLIERS OR LICENSORS WILL BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER TANGIBLE OR INTANGIBLE LOSSES OR ANY OTHER DAMAGES BASED ON CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY (EVEN IF AQWIRE HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM THE SITE OR SERVICE; THE USE OR THE INABILITY TO USE THE SITE OR SERVICE; UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE OR SERVICE; ANY ACTIONS WE TAKE OR FAIL TO TAKE AS A RESULT OF COMMUNICATIONS YOU SEND TO US; HUMAN ERRORS; TECHNICAL MALFUNCTIONS; FAILURES, INCLUDING PUBLIC UTILITY OR TELEPHONE OUTAGES; OMISSIONS, INTERRUPTIONS, LATENCY, DELETIONS OR DEFECTS OF ANY DEVICE OR NETWORK, PROVIDERS, OR SOFTWARE (INCLUDING, BUT NOT LIMITED TO, THOSE THAT DO NOT PERMIT PARTICIPATION IN THE SERVICE); ANY INJURY OR DAMAGE TO COMPUTER EQUIPMENT; INABILITY TO FULLY ACCESS THE SITE OR SERVICE OR ANY OTHER WEBSITE; THEFT, TAMPERING, DESTRUCTION, OR UNAUTHORIZED ACCESS TO, IMAGES OR OTHER CONTENT OF ANY KIND; DATA THAT IS PROCESSED LATE OR INCORRECTLY OR IS INCOMPLETE OR LOST; TYPOGRAPHICAL, PRINTING OR OTHER ERRORS, OR ANY COMBINATION THEREOF; OR ANY OTHER MATTER RELATING TO THE SITE OR SERVICE.

YOU AGREE THAT AQWIRE, NOR ANY OF THEIR AGENTS, OFFICERS, AFFILIATES, OFFICERS, OR EMPLOYEES, WILL NOT BE LIABLE, WHETHER IN CONTRACT, TORT, OR STRICT LIABILITY, FOR ANY DIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES ARISING OUT OF, OR IN CONNECTION WITH, THE USE OF THE SITE, THE SERVICE, THE CONTENT ON THE SITE OR A LINKED SITE, OR ARISING OUT OF, OR IN CONNECTION WITH, THE DELAY OR INABILITY TO USE THE SITE OR A LINKED SITE, EVEN IF AQWIRE, OR ANY OF THEIR RESPECTIVE AGENTS, AFFILIATES, OFFICERS, DIRECTORS OR EMPLOYEES, WERE MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION ON LIABILITY INCLUDES, WITHOUT LIMITATION, THE TRANSMISSION OF ANY VIRUSES THAT MAY INFECT A USER'S EQUIPMENT, FAILURE OF MECHANICAL OR ELECTRONIC EQUIPMENT OR COMMUNICATION LINES, TELEPHONE OR OTHER INTERCONNECT PROBLEMS (E.G., YOU CANNOT ACCESS YOUR INTERNET SERVICE PROVIDER), UNAUTHORIZED ACCESS, THEFT, DATA LOSS, OPERATOR ERRORS, STRIKES OR OTHER LABOR PROBLEMS, OR ANY FORCE MAJEURE EVENT. AQWIRE CANNOT, AND DO NOT, GUARANTEE CONTINUOUS, UNINTERRUPTED OR SECURE ACCESS TO THE SITE, THE SERVICE OR THE CONTENT RELATED THERETO.

VIOLATIONS OF THE TERMS OF SERVICE

AQWIRE may, each in their respective sole discretion, immediately terminate Your use of the Site if it believes that You are violating or have violated these Terms of Service or the terms and conditions of the other documents referenced herein. Any such termination will be without prejudice to any other rights that AQWIRE may have against You arising from a violation of these Terms of Service or of the other documents referenced herein. Further, you understand and agree that stopping Your access to or usage of the Site is Your sole right and remedy with respect to any dispute with AQWIRE.

NO THIRD-PARTY BENEFICIARIES

You agree that, except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to the Terms.

DISPUTE RESOLUTION

The parties shall use their best efforts to engage directly to settle any dispute, claim, question, or disagreement and engage in good faith negotiations which shall be a condition to either party initiating a lawsuit or arbitration.

If the parties do not reach an agreed upon solution within a period of 30 days from the time informal dispute resolution begins, then either party may initiate binding arbitration as the sole means to resolve claims, subject to the terms set forth below. Specifically, all claims arising out of or relating to these Terms (including their formation, performance and breach), the parties’ relationship with each other and/or Your use of the Service shall be finally settled by binding arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules and the supplementary procedures for consumer related disputes of the American Arbitration Association (the "AAA"), excluding any rules or procedures governing or permitting class actions.

The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability or formation of these Terms, including, but not limited to any claim that all or any part of these Terms are void or voidable, or whether a claim is subject to arbitration. The arbitrator shall be empowered to grant whatever relief would be available in a court under law or in equity. The arbitrator’s award shall be written, and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

Binding arbitration shall take place in the State of California. You agree to submit to the personal jurisdiction of any federal or state court in California, in order to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.

The parties further agree that any arbitration shall be conducted in their individual capacities only and not as a class action or other representative action, and the parties expressly waive their right to file a class action or seek relief on a class basis. YOU AND AQWIRE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

GOVERNING LAW

The laws applicable to the use of the Site and the interpretation of these Terms of Service shall be the laws of the State of California, United States, and applicable federal law, without regard to any conflict of law provisions.

GENERAL

While this is a web-based service, a printed version this Terms of Service and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Service to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

You agree that regardless of any statute or law to the contrary, any claim or cause of action you bring arising out of or related to your use of the site, the provision of the service or these Terms of Service must be filed within one (1) year after such claim or cause of action arose or be forever barred. The failure of AQWIRE to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

These Terms (and any additional terms, rules and conditions of participation that AQWIRE may post on the Service) constitute the entire agreement between You and AQWIRE with respect to the Service and supersedes any prior agreements, oral or written, between You and AQWIRE. In the event of a conflict between these Terms and the additional terms, rules and conditions of participation, the latter will prevail over the Terms to the extent of the conflict.

The section titles in this Terms of Service are solely used for the convenience of the parties and have no legal or contractual significance.

PRIVACY POLICY

GENERAL

Effective: 01 October 2017

This Privacy Policy discloses the privacy practices for AQWIRE Listing (http://aqquire.co/), which is owned and operated by AQWIRE Inc. a Delaware C Corp., as well as the use of any application created by AQWIRE. This Privacy Policy applies to our collection and use of information from all visitors to the Site, including, without limitation, visitors using only free services offered on the site.

You are solely responsible for maintaining the confidentiality and security of the usernames and passwords for your accounts with the enterprises that use the service, and you assume all liability for sharing or disclosing your username and password. You must not share credentials with anyone else, and you authorize AQWIRE to act upon instructions and information from any person that enters your credentials. You agree to immediately contact the applicable enterprise if you become aware that the security of the username and password for your account with such enterprise may have been compromised or if there has been unauthorized access to the username and password for your account with such enterprise. You are solely responsible for all activity occurring under the username and password for your account with the Companies who use the Service. Access to and use of password-protected and/or secure areas of the Site and the Service is restricted to authorized users only. Any information collected from or about you through your use of the Site or Service is subject to the AQWIRE Privacy Policy, with respect to AQWIRE; and the enterprise Privacy Policy, with respect to the enterprise, if applicable.

 

COLLECTION OF PERSONALLY IDENTIFIABLE INFORMATION

Throughout this Privacy Policy, we use the term "personally identifiable information" to describe information that can be associated with a specific person and can be used to identify that person. We do not consider personal information to include information that has been made anonymous so that it does not identify a specific user.

The collection and use of data from a variety of sources is essential to our ability to provide our Services – and to help keep the Services safe. Data is critical in helping us to increase the safety of your transactions, and reduce the risk of fraud, money laundering and other harmful activity.

Except as otherwise set forth in this Privacy Policy, AQWIRE does not sell, share, or in any other way transmit personally identifiable information (names, address, phone numbers, etc.) submitted by non-registered users to any other persons or companies.

We may use contact information from registered or non-registered users to send promotional products and information about AQWIRE, the Site and/or on behalf of our partner companies.

We may provide personally identifiable information of registered users to third party service providers and referral partners that work on behalf of or with us to provide some of the aspects of our services and to help us communicate with you. However, these service providers and referral partners do not have any independent right to disclose this information (except to the same extent we would have a right to disclose that information under this Privacy Policy).

Although we currently do not have a parent company, subsidiaries, joint ventures, or other companies under common control with us (collectively, "Affiliates"), we may in the future. You hereby agree that we may share some or all of your personally identifiable information with these Affiliates. We will require our Affiliates to comply with this Privacy Policy.

If you submit any personally identifiable information relating to other people to us or to our service providers in connection with the Services, you represent that you have the authority to do so and to permit us to use the information in accordance with this Privacy Policy.

If our company or our assets are acquired by another company, that company will possess the personally identifiable information collected by us.

 

NON-CUSTOMER SALES, SERVICE OR INFORMATION INQUIRIES

When you submit an online "contact us" or other online inquiry form or when you call, write, fax or otherwise initiate contact with AQWIRE, we record your contact information (name, address, phone number, and email address) in our CRM (Customer Relationship Management) system. This information is used for answering your questions as well as ongoing marketing communication programs. In some cases, you may be referred to a AQWIRE online inquiry form via a link on a third party referral website. In that case, any information collected on the AQWIRE hosted online inquiry form may be shared with the referring party only, and that referring party may use it for their own, non-AQWIRE related, marketing communication programs. AQWIRE protects all information collected via online inquiry forms and will not disclose it to any third parties except as otherwise set forth in this Privacy Policy.

You consent to receive autodialed calls from or on behalf of AQWIRE at any number provided to AQWIRE, whether such number is directed at a residence, a business, a wireless telephone, or otherwise. You understand that this consent is not a condition of purchasing the products and services offered by AQWIRE.

To obtain a AQWIRE Account you must provide contact information (name, address, phone number, and e-mail address) in addition to other personally identifiable information, including but not limited to, your social security number (we may use the last 4 digits provided to obtain and store the full social security number), driver’s license state and number, Employer Identification Number (Tax ID), and billing information.

 

HOW WE SHARE PERSONALLY IDENTIFIABLE INFORMATION WITH THIRD PARTIES

Personally, identifiable information we collect is shared with service providers under contract who help with parts of our business operations including but not limited to identity verification, credit checks, fraud prevention, bill collection, marketing, and technology services. Our contracts dictate that these service providers only use your information in connection with the services they perform for us and not for their own benefit, except as otherwise set forth in this Privacy Policy, including without limitation as set forth in the Non-Customer Sales, Service, or Information Inquiries section above. We will make reasonable commercial efforts to ensure that they comply with such policy or requirements, however, we will have no liability to you if any person fails to do so.

We may use third-party analytics providers, such as Google Analytics, which use cookies and similar technologies to collect and analyze information about use of the Services and report on activities and trends. These third parties may also collect information regarding the use of other websites, apps and online resources. You can learn about Google’s practices by going to www.google.com/policies/privacy/partners/, and opt out of them by downloading the Google Analytics opt-out browser add-on, available at https://tools.google.com/dlpage/gaoptout.

 

USE OF DEMOGRAPHIC AND PROFILE DATA

In our efforts to continually improve our product and service offerings, we collect and analyze demographic and profile data about our users and their customers. We identify and use your IP address to help diagnose problems with our servers, and to administer the Site. Your IP address, along with cookies, is used to help identify you and gather basic information and help personalize your online experience with us. A cookie is a small text file that is stored on your computer to help us make your visit more user-friendly by improving the site and your experience with it. Any data collected through cookies will be treated in accordance with this Privacy Policy. If you have set your browser to warn you before accepting cookies, you should receive a warning message with each cookie. We use personal data to: (i) provide the Services; (ii) detect and prevent fraud; (iii) mitigate financial loss or other harm to Users, Customers, and AQWIRE; and (iv) promote, analyze and improve our products, systems, and tools.   2. b) evaluate an application to use our Services;
  3. c) conduct manual or systematic monitoring for fraud and other harmful activity;
  4. d) respond to inquiries, send service notices and provide customer support;
  5. e) for audits, regulatory purposes, and compliance with industry standards;
  6. f) develop new products;
  7. g) send marketing communications;
  8. h) improve or modify our Services; and
  9. i) conduct aggregate analysis and develop business intelligence that enable us to operate, protect, make informed decisions, and report on the performance of, our business.

We also reserve the right to use aggregated personal data provided that those data do not relate to any individual.

We use and disclose personally identifiable information as we believe necessary: (i) under applicable law, or payment method rules; (ii) to enforce our terms and conditions; (iii) to protect your rights, privacy, safety or property; and (iv) to respond to requests from courts, law enforcement agencies, regulatory agencies, and other public and government authorities, which may include authorities outside your country of residence.

We will occasionally ask you to complete optional online surveys. These surveys may ask you for contact information and demographic information (like zip code, age or income level). We may use this data to tailor your experience on the Site, providing you with content that we think you might be interested in -- and to display content according to your preferences. We sometimes use contact data from our surveys to send you information about our company and/or promotional material on behalf of our partners. We never use personally identifiable information about your customers to contact them directly, nor do we share this data with any third parties.

For quality and training purposes, AQWIRE may monitor or record its telephone conversations with you or anyone acting on your behalf. By communicating with AQWIRE, you acknowledge that your communication may be overheard, monitored, or recorded without further notice or warning. In order to help protect you from fraud and misuse of your personal information, we may collect information about you and your interactions with AQWIRE. We may also evaluate your computer, mobile phone or other access device to identify any malicious software or activity.

We may create anonymous records from personally identifiable information by excluding information (such as your name) that makes the information personally identifiable to you or one of your customers. We may use this anonymous information to direct future development, including but not limited to analyzing usage patterns so that we may enhance our services, and providing reports based on anonymous non-personally identifiable information. We reserve the right to use and disclose anonymous information to third parties, at our discretion.

 

DATA RETENTION POLICY AND MANAGING YOUR INFORMATION

We will retain personally identifiable information. for as long as you remain an active AQWIRE Paid Account Holder and for a reasonable time thereafter. We may retain anonymized and aggregate data indefinitely.

We have a variety of obligations to retain the data that you provide to us, including to ensure that transactions can be appropriately processed, settled, refunded or charged-back, to help identify fraud and to comply with anti-money laundering and other laws and rules that apply to us and to our financial service providers. There may also be residual data that will remain within our databases and other records, which will not be removed.

 

 

SECURITY

AQWIRE has security measures in place to protect against the loss, misuse and alteration of the information under our control, as described in our security page. We protect personal data with appropriate physical, technological and organizational safeguards and security measures.

Your personal data comes to us via the internet which chooses its own routes and means whereby information is conveyed from location to location. Unfortunately, no data transmission or storage system can be guaranteed to be 100% secure. As such we cannot give any warranty or assurance that the means where information is conveyed to us are safe, reliable or have integrity. Our site has security measures in place to protect against the loss, misuse and unauthorized alteration of the information under our control. More specifically, our server uses SSL (Secure Sockets Layer) security protection by encrypting your Personal Data including credit card number, name and address to prevent individuals from reading these Data as it travels over the Internet. The length of time we retain personal data outside our back up system varies depending on the purpose for which it was collected and used. This period may extend beyond the end of the particular relationship with us but only for so long as we are contractually bound to do so, or so far as is necessary for audit or other accounting purposes. When personal data are no longer needed we have procedures either to destroy, delete, erase or convert it to an anonymous form.

 

OTHER DISCLOSURE OF INFORMATION

We may disclose your personally identifiable information to law enforcement, government officials, or other third parties when:

We are compelled to do so by a subpoena, court order or similar legal procedure;

We need to do so to comply with law or credit card rules;

AQWIRE gives users the following options for changing and modifying information previously provided or collected and reviewing information currently on file. Note that AQWIRE will require you to verify your identity prior to releasing any personal information.

 

 

REFUND POLICY 

Refunds are only issued when the product or service promised is not delivered, or when there is a double charge. Entitlement to refund is for a period of 180 days from bill payment/debit only. If 180 days have passed since the payment/debit, AQWIRE cannot process the refund request. If request for refund is approved, the refund will be processed, and a credit will automatically be applied to the credit card or original method of payment within a certain amount of days depending on the processing time of the bank or credit card company.

 

FOR APPROVED AND PROCESSED REFUNDS (IF APPLICABLE)

Follow these steps to monitor and track refunds processed by AQWIRE:

1) Check with your credit card issuing bank or bank account if the refund is already reflected.

2) If the refund is not reflected yet, contact your credit card company, as it may take some time before your refund is officially posted.

3) Next, contact your bank to inquire about the refund. Like with card issuing banks, it also takes time to process refunds.
